The present structure of the Platform is shown on page 16 of the Evaluation in Exhibit 3.2 (attached). The governance of the Platform — that is, the way in which the functions of the Platform are overseen — reflects the structure and the responsibilities of members in advisory and legal respects, the Platform’s relationships with different partners, and lines of accountability. The Evaluation viewed the governance structure as “overly complex” (page 57). The multi-layered structure of membership has always led to the perception that “ownership” of the Platform and its functions differed greatly between, for example, Steering Committee, other full members and associates.
